1. Acceptance of Terms These Terms of Use ("Terms") constitute a legally binding agreement between you ("User" or "you") and Dine Replies ("Company," "we," "us," or "our") governing your access to and use of the Dine Replies website (https://dinereplies.com), software-as-a-service platform, and all related services ("Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Service.

2. Use of Service You are responsible for all activity that occurs under your account. You may not use the Service for any purpose that is illegal or prohibited by these Terms. You must provide accurate and complete information during sign-up and keep your account information updated.

3. Subscription, Billing, and Payment The Service is provided on a subscription basis. By subscribing, you authorize Dine Replies to charge your selected payment method on a recurring monthly basis, on the same day of the month you first signed up ("Billing Date"). Subscription fees and available features are described on the Service's pricing page. Fees are subject to change, but any changes will be communicated in advance. All fees are billed in advance and are non-refundable, even if you cancel before the end of the billed month, unless expressly stated otherwise in writing by the owners of Dine Replies. You remain responsible for any charges incurred prior to cancellation.

4. Cancellation and Termination: You may cancel your subscription at any time through your account dashboard or by contacting Dine Replies support. Upon cancellation, your subscription will remain active until the end of the current billing cycle, after which you will not be charged further. If you do not cancel your subscription before the next Billing Date, you will be automatically charged for the next month with no entitlement to a refund. Dine Replies reserves the right to suspend or terminate your access to the Service at any time, without notice or liability, for any reason including violation of these Terms.

5. Intellectual Property All content, software, features, and functionality on the Service, including but not limited to text, graphics, logos, and software code, are the property of Dine Replies or its licensors. You may not copy, reproduce, distribute, modify, or create derivative works of the Service without explicit written permission.

6. Limitation of Liability The Service is provided "as is" and "as available" without warranty of any kind. Dine Replies disclaims all warranties, express or implied, regarding the operation or availability of the Service. To the maximum extent permitted by law, Dine Replies shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to your use or inability to use the Service.

7. Changes to Terms Dine Replies may update these Terms at any time. Notice of changes will be provided on our website and, where requisite, via your registered email address. Continued use of the Service after changes becomes effective constitutes acceptance of the revised Terms.

8. Governing Law These Terms are governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law principles. Any disputes shall be exclusively resolved in the state or federal courts located in Connecticut.
